The Service is an AI-driven research and sourcing platform (“Astri”), designed primarily to assist organizations such as venture capital firms, enterprises, and other professionals by:
Competitive Research: Identifying, analyzing, and monitoring competitors and market trends.
Startup Sourcing: Suggesting potential investment targets or strategic partners based on your criteria.
Deal Flow & Outreach: Facilitating outreach to potential investees or partners.
Due Diligence Support: Automating parts of the research and data-gathering process for due diligence (“DD”).
No Investment, Financial, or Legal Advice
Not a Registered Advisor: We are not registered as a broker-dealer, investment advisor, or legal advisor. The Service and any data or insights provided are for informational purposes only.
AI Limitations: Astri leverages AI models, which may contain biases, inaccuracies, or omissions. We make no warranty of their completeness or accuracy, nor can we guarantee that the output will be error-free or unbiased.
Your Responsibility: You alone are responsible for verifying the accuracy of any information obtained, conducting your own due diligence as appropriate, and seeking professional advice (legal, financial, or otherwise) before making any major decision.
3. Eligibility
Age Requirement: You must be at least 18 years old (or the age of majority in your jurisdiction) to access or use the Service.
Authority: If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

User-Generated Content
You represent and warrant that you own or have all necessary rights to any content (including confidential or proprietary information) that you submit to or through the Service.
You grant us a non-exclusive, worldwide, royalty-free, fully paid-up, transferable, and sublicensable license to use, reproduce, modify, distribute, and display any content you submit in connection with operating or improving the Service.
If you upload any confidential or third-party data, you agree that you are solely responsible for compliance with all relevant privacy, confidentiality, and intellectual property laws.
Compliance
You are solely responsible for ensuring that your use of the Service (including any investment or outreach decisions) complies with all applicable laws and regulations, including but not limited to securities laws, data protection regulations, and export control laws.
6. Confidential Information and NDA-Like Provisions
User Responsibility for Confidential Data
If you choose to upload or store confidential or sensitive information (e.g., documents related to a potential investment deal), you acknowledge and agree that you have the right to do so and that you assume all risks of unauthorized disclosure, except to the extent caused by our gross negligence or willful misconduct.
We implement reasonable security measures but cannot guarantee absolute security.
No Fiduciary Duty
We do not assume any fiduciary duty or advisory obligation to you. By providing data or insights, we are not acting as your agent, attorney, or financial advisor.
7. Intellectual Property
Ownership: All content, trademarks, service marks, and trade names contained within the Service (excluding User-Generated Content) are the property of Trissino Inc. or its licensors. You may not reproduce, distribute, or create derivative works from any of our proprietary content without prior written consent.

8. Fees and Payments
Subscription & Fees: Some features may require payment (e.g., subscription plans, usage fees). By subscribing or making a purchase, you agree to pay all applicable fees.
Pricing Changes: We may change our pricing at any time. We will provide notice of material price changes, and your continued use after such changes implies acceptance.
Refunds: Unless otherwise stated in a separate refund policy, all payments are final and non-refundable.

No Guaranteed Results: We do not warrant that the Service will meet your requirements or that it will be uninterrupted, secure, or error-free. We specifically disclaim any representation that using the Service will ensure any specific financial, investment, or strategic outcome.
10. Limitation of Liability
To the fullest extent permitted by law:
Indirect or Consequential Damages: Trissino Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, business, data, or opportunities), even if advised of such damages.
Cap on Liability: In no event shall Trissino Inc.’s total liability exceed the amount you paid us (if any) in the 12 months preceding the event giving rise to the claim.
No Reliance: Any decisions or actions you take—particularly regarding investments, partnerships, or other financial matters—are made solely at your own risk. You agree Trissino Inc. is not responsible for any loss or damage arising from such decisions.
No Fiduciary Relationship: Your use of the Service does not create a fiduciary relationship, partnership, or joint venture with Trissino Inc.
11. Indemnification
You agree to defend, indemnify, and hold harmless Trissino Inc. and its officers, directors, employees, agents, successors, and assigns from and against all claims, liabilities, damages, losses, and expenses (including attorneys’ fees) arising out of or in any way connected with:
Your use of the Service, including any investment or outreach activities.
Your violation of these Terms.
Your violation of any rights of a third party.
Your failure to comply with applicable laws or regulations (including securities laws or data protection laws).
12. Governing Law and Dispute Resolution
Governing Law: These Terms and any related action shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions.
Venue: All disputes arising from or related to these Terms shall be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
Class Action Waiver: You agree to resolve disputes on an individual basis, and you waive any right to participate in a class or consolidated action.
Arbitration (Optional): At our sole discretion, we may require disputes to be resolved via final and binding arbitration under the rules of the American Arbitration Association (AAA). Any such arbitration shall take place on an individual basis.
13. Termination
We may terminate or suspend your access to the Service at any time, without notice or liability, for any reason, including violation of these Terms. Upon termination, the rights granted to you in these Terms will immediately cease.
14. Miscellaneous
Entire Agreement: These Terms, including any referenced policies, constitute the entire agreement between you and Trissino Inc. regarding the Service.
Severability: If any provision of these Terms is found unenforceable, that provision shall be enforced to the maximum extent possible, and the remaining provisions will remain in full force and effect.
No Waiver: Our failure to enforce any right or provision under these Terms does not constitute a waiver of that right or provision.
Assignment: Trissino Inc. may assign or transfer these Terms, in whole or in part, at any time without notice. You may not assign these Terms without our prior written consent.
